Terms of Service

Enacted: July 6, 2026

This English translation is provided for reference purposes only. The Japanese version is the official text, and in the event of any discrepancy between the two, the Japanese version shall prevail.

These Terms of Service (the "Terms") set forth the conditions for using the service "Traceity" (the "Service") provided by Nexis, Inc. ("we", "us" or "the Company").

Article 1 (Application)

  1. The Terms apply to all relationships between the Company and any customer using the Service (a "User") concerning the use of the Service.
  2. By using the Service, Users are deemed to have agreed to the Terms.

Article 2 (Definitions)

  1. "Organization" means a unit created on the Service to which multiple Users can belong.
  2. "Content" means documents, comments, change proposals, and other data stored by Users on the Service.
  3. "Paid Plan" means a plan of the Service provided by the Company for a fee.

Article 3 (Account registration)

  1. Those who wish to use the Service shall register an account by providing true and accurate information.
  2. The Company may decline a registration if the applicant has provided false information, has previously violated the Terms, or is otherwise deemed inappropriate by the Company.

Article 4 (Account management)

  1. Users shall manage their accounts and passwords at their own responsibility and shall not transfer or lend them to any third party.
  2. The Company shall not be liable for damages caused by inadequate management of an account or unauthorized use by a third party, except in cases of willful misconduct or gross negligence on the part of the Company.

Article 5 (Fees and payment)

  1. Fees for Paid Plans are displayed on the sign-up page of each plan.
  2. Fees are paid by credit card. The first payment is charged at the time of sign-up, and thereafter the registered credit card is charged automatically upon each renewal of the subscription period.
  3. Paid fees are non-refundable for any reason, except where a refund is required by law.

Article 6 (Cancellation)

  1. Users may cancel a Paid Plan at any time.
  2. After cancellation, the features of the Paid Plan remain available until the end of the paid period. No refunds (including pro-rated refunds) are provided for mid-period cancellations.

Article 7 (Rights in and handling of Content)

  1. Rights in Content belong to the User or the rightful holder of such rights.
  2. The Company may handle Content only to the extent necessary to provide, maintain, and protect the Service and to comply with applicable laws.
  3. When a User withdraws or an Organization is deleted, the Company will delete the Content within a reasonable period, provided that the Content may temporarily remain in backups.
  4. Users shall also back up necessary Content at their own responsibility.

Article 8 (Prohibited acts)

Users shall not engage in any of the following acts when using the Service:

  • Acts that violate laws, regulations, or public order and morals
  • Acts that infringe the intellectual property rights, privacy, or other rights or interests of the Company or any third party
  • Unauthorized access, or acts that place an excessive load on the servers or networks of the Service
  • Acts that interfere with the operation of the Service
  • Decompiling, disassembling, or otherwise analyzing the Service, except as permitted by law
  • Reselling or re-providing the Service to third parties without the prior consent of the Company
  • Any other acts the Company reasonably deems inappropriate

Article 9 (Changes, suspension, and termination of the Service)

  1. The Company may change the content of the Service or terminate its provision with prior notice to Users; provided that, in cases of emergency, notice may be given afterwards.
  2. The Company may temporarily suspend the Service due to system maintenance, failures, natural disasters, or other unavoidable events.

Article 10 (Disclaimer of warranties and limitation of liability)

  1. The Company makes no warranty, express or implied, that the Service will fit a particular purpose of a User, have the expected functions, accuracy, or usefulness, or be free from defects.
  2. Except in cases of willful misconduct or gross negligence on the part of the Company, the Company's liability for damages in connection with the Service shall be limited to ordinary damages directly and actually incurred by the User, and the total amount of compensation shall not exceed the total fees paid by the User to the Company during the preceding twelve (12) months.
  3. Where the Consumer Contract Act of Japan or other mandatory laws apply, this Article applies only to the extent not inconsistent with such laws.

Article 11 (Exclusion of antisocial forces)

Users represent and warrant that they are not, and have no relationship with, organized crime groups, their members, or other equivalent persons (collectively, "Antisocial Forces"). If a User breaches this Article, the Company may suspend the User's use of the Service or cancel the registration without prior notice.

Article 12 (Amendment of the Terms)

The Company may amend the Terms in accordance with the Civil Code of Japan by announcing the amended content and its effective date in advance. If a User uses the Service after the effective date, the User is deemed to have agreed to the amended Terms.

Article 13 (No assignment)

Users may not assign or pledge their rights or obligations under the Terms to any third party without the prior written consent of the Company.

Article 14 (Severability)

Even if any provision of the Terms is held invalid under laws or regulations, the remaining provisions shall remain in full force and effect.

Article 15 (Governing law and jurisdiction)

The Terms are governed by and construed in accordance with the laws of Japan. Any dispute arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
